The Board of Directors have amended the Bylaws and now publish them publicly for comment by members for the next 30 Days in accordance with our previously adopted bylaws before voting to adopt these new bylaws. Any member may comment and attend a meeting to be held on Aug 30th, 2019 at 6:00pm and the McKinley Marina Overlook Pavilion for a very short meeting of adoption. Table of Contents Article I. Mission Statement McKinley Boat Owners Association works to better the safety and recreational experiences of all McKinley Marina Basin benefactors. Article II. Membership There shall be two (2) types of members within McBOAT they are: Section 01 Resident Members General members must be a resident, meaning to own or rent any mooring and/or rent any marina slip(s), of the McKinley Marina Basin and pay all membership dues to current. Membership shall include any member’s spouse and minor dependent children; however, each membership shall only possess one vote per paid membership during elections or any such other applicable time such as Article VI Section 02 of these bylaws. Section 02 Associate Members Associate members are any individual, organization, or business that wishes to join McBOAT but does not meet the criteria of Article II Section 01 of these Bylaws. Membership shall include any member’s spouse and minor dependent children; however, each membership shall only possess one vote per paid membership during elections or any such other applicable time such as Article VI Section 02 of these bylaws. Section 03 Membership Period Annual memberships shall be valid from May 1st to April 30th of the following year. Section 04 Dues Membership Dues shall be determined by the board of directors and adjusted as needed from time to time. All owed dues shall be billed in April of each year, Members shall have until May 15th of the same year to comply. Section 05 Expulsion A member may be expelled from McBOAT by a two thirds (2/3) majority of the board of directors provided the topic has been discussed at a previous meeting and the member proposed for expulsion is made aware, in writing, of the proceedings no less than ten (10) days prior to any meeting pursuant to their expulsion. Section 06 Reinstatement of Expelled Members An expelled member may be reinstated by the Board of Directors, if they deem appropriate, with or without prejudice or conditions. Article III. Board of Directors The Board of Directors shall be composed of no less than five (5) but no more than nine (9) General members, as described in Article II Section 01. Section 01 Requirements Directors must be a current General member in good standing for a period of no less than 2 consecutive years, unless the Board of Directors votes to suspend this restriction by a majority of two thirds (2/3) or more. Section 02 Elections Directors shall be elected by the General Members of McBOAT at an annual meeting of all McBOAT members. At each election only half (1/2) of the Board of Directors may be elected. Section 03 Term Directors shall have a term of 2 years. Section 04 Nominations Director nominations are subject to review. Section 05 Attendance Directors must maintain reasonable attendance at board meetings. Unexcused absence from four (4) consecutive board meetings or four (4) out of six (6) of board meetings within a timeframe no shorter than six (6) board meetings will effect immediate removal from the board. Section 06 Removal of Board of Director Members An elected Board Member may be removed during their term for any reason provided all board members have voted on the issue and they have reached a two thirds (2/3) majority in favor of removal. Section 07 Vacancies Vacancies on the Board may be filled by board nomination and an affirmative vote of directors or Presidential nomination and confirmation by the Board of Directors. Persons nominated are subject to Article 3 Sec 04 of these bylaws and if confirmed will serve out the remaining a term of the Director they are replacing. Article IV. Officers Officers must be members of the Board of Directors. Section 01 Number The Officers of McBOAT shall be made up of a President, Vice-President, Secretary, and Treasurer. Section 02 Election and Term of Office Officers shall be elected immediately following the annual election of Directors with a term of one (1) year. Section 03 Removal of Officers An elected officer may be removed during their term provided all board members have voted on the issue and they have reached a two thirds (2/3) majority in favor of removal. Section 04 Vacancies Any vacant office must be filled within a period of ninety (90) days. The person filling the vacancy shall hold the office only for the duration of its current term. Vacancies may be filled by either Presidential appointment subject to Board of Director approval or election. Section 05 President The President shall be the principal executive officer of McBOAT and shall in general supervise and control all of the business and affairs of McBOAT. The President shall, when present, preside at all meetings, and shall only cast a vote in the event of a tie. Section 06 Vice-President The Vice President shall execute the office of the President in any case in which the President is absent or unable to act for any reason. The Vice President may also carry out other duties as assigned to him/her by the Board of Directors or President. Section 07 Secretary The Secretary shall perform the following duties: (a) Minutes Keep minutes of all meetings. (b) Notice(s) See that all notices are duly given in accordance with these by-laws or as required by law. (c) Custodial Be custodian of the corporate records of McBOAT (d) General In general, perform all duties incident to the office of Secretary and other duties which may be assigned by the President or Board of Directors. Section 08 Treasurer The Treasurer shall perform the following duties: (a) Fiscal Have charge, custody of, and be responsible for all funds and monies of McBOAT. (b) Reports Produce, at minimum, a yearly report of McBOAT finances (c) General In general, perform all duties incident to the office of Treasurer and other duties which may be assigned by the president or Board of Directors Section 09 Registered Agent McBOAT shall have a Registered Agent whose name and address shall be filed with any required agencies per law. The agent shall be appointed by the President at the beginning of each fiscal year or any other time as required by law. Section 10 Other Assistants and Acting Officers The officers of McBOAT shall have the power to appoint any person to act as assistant to any officer, or perform the duties of such officer whenever for any reason it is impractical for such officer to act personally. These appointments shall be ratified by the Board of Directors and shall be temporary. These appointments may only operate within their Board of Director approved roles. Article V. Committees The President or Board of Directors shall create such committees necessary to the operation of McBOAT as needed. These committee(s) shall have members appointed by the President and may contain non-board members. At least one (1) board member must sit on each committee. All committee appointments shall be held until a committee(s) is reassigned or dissolved. Section 01 Executive Committee The executive committee shall be comprised of the Officers of McBOAT and at least one (1) Board of Director’s member. They shall in times of emergency or in times in between Board of Director meeting which require action have the ability to approve the use of funds on hand for any purposes deemed necessary to the operation of McBOAT. These expenditures are not to exceed two hundred dollars ($200.00) per item. Article VI. General General rules of McBOAT shall include the following. Section 01 Meetings McBOAT will hold an annual meeting(s) between the months of November and May for the purposes of election(s) and other year-end business(s). (a) Inclusions All meetings must include a section for the public and membership to speak and voice concerns, suggestions and/or grievances. Section 02 Special Meetings A Special Meeting may be called by the President, majority of Board of Directors, or by written notice of a petition of a majority of General Members. Petitions must include the general reason for the special meeting. Section 03 Quorum A Quorum shall be more than half the seated Board of Directors number. Section 04 Majority A majority is a simple majority unless otherwise stated in the bylaws. Article VII. Fiscal Section 01 Fiscal Year McBOAT’s fiscal year shall be from January 1st through December 31st. Section 02 Spending Limitation(s) The Board of Directors shall not spend any monies, budgeted or non-budgeted, in a manner which would cause the treasury to reach a balance of zero dollars ($0.00) in any account(s). Section 03 Section 03 Audits The Board shall establish an audit Committee for each fiscal year of operation in addition to having a third-party audit performed no less than once every 5 years. Article VIII. Amendments These bylaws may be altered, amended, or repealed and new bylaws adopted by the Board of Directors provided the amendment(s) was introduced at the most previous meeting of the general assembly of McBOAT membership or was published in a written notice publicly posted and mailed electronically or otherwise to membership at least thirty (30) days prior to the vote. Article IX. Dissolution McBOAT Board of Directors may vote to dissolve in the event of failures of interest, participation, or membership. Upon such an action the Board of Directors shall ensure the following takes place within thirty (30) days of the vote. Section 01 Expenses All expenses of McBOAT shall be paid in full. Section 02 Liquidation All assets of McBOAT shall be liquidated and upon completion all bank accounts or otherwise shall be closed. Section 03 Remaining funds Remaining funds shall be converted into a cashier’s check(s) and donated to charity(s) approved by the Board of Directors.

Article I. Mission Statement McBOAT works towards improving tenant marina experience(s) and as a voice representing tenants to the Milwaukee County Government and others. Article II.
